These Terms govern your use of the STRATELYX website and any engagement of our services.

01 · ACCEPTANCE OF TERMS
Agreement to These Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Client") and STRATELYX ("STRATELYX", "we", "us", or "our"), a professional HR advisory firm operating from Miami, Florida, United States. By accessing or using the website located at www.stratelyx.com (the "Site"), by submitting a contact or inquiry form, or by engaging STRATELYX for any professional services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not use the Site or engage our services. These Terms apply to all visitors, users, and clients.
02 · SERVICES
Description of Services
STRATELYX provides outsourced HR advisory, employee relations consulting, HR compliance review, people strategy advisory, workplace investigation support, and related professional services (collectively, "Services") to business clients. The Site serves as an informational and contact platform. It describes our service offerings, allows visitors to submit inquiries and schedule discovery calls, and provides general information about our firm.
Not Legal Advice
STRATELYX is not a law firm and does not provide legal advice. The information on the Site, and the Services we provide, are HR advisory in nature and do not constitute legal advice, legal representation, or the practice of law. Nothing in our work product, communications, or deliverables should be construed as legal advice. Clients are encouraged to consult qualified legal counsel on matters requiring legal interpretation or legal action, particularly in relation to employment litigation, regulatory enforcement, and formal disciplinary proceedings.
03 · CLIENT ENGAGEMENTS
How Engagements Are Governed
All professional service engagements between STRATELYX and a Client are governed by a separate written engagement agreement, statement of work, or proposal accepted by the Client ("Engagement Agreement"). The Engagement Agreement sets out the specific scope, deliverables, fees, timeline, and any special conditions applicable to that engagement. These Terms apply to all engagements in addition to any Engagement Agreement. In the event of a conflict between these Terms and a signed Engagement Agreement, the Engagement Agreement controls with respect to the specific engagement.
Fees and Payment
Fees are as set out in the applicable Engagement Agreement or proposal. For project-based engagements, a 50% deposit is required to commence work, with the balance due upon delivery. Monthly retainers are invoiced on the 1st of each month. All invoices are due within 14 calendar days of issuance unless otherwise agreed in writing. Late payments may accrue interest at the rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date. STRATELYX reserves the right to suspend services in the event of non-payment.
Cancellation and Termination
Monthly retainer engagements may be cancelled with 30 days written notice. No penalties apply upon proper notice. Project-based engagements may be terminated by either party with written notice, with fees due for all work completed up to the date of termination. Deposits for project engagements are non-refundable once work has commenced.
04 · INTELLECTUAL PROPERTY
Ownership of Work Product
All content on the Site, including text, design, graphics, logos, and materials, is the exclusive property of STRATELYX and is protected by United States and international copyright law. You may not reproduce, distribute, or use Site content without our prior written consent. With respect to deliverables produced under a client engagement: upon receipt of full payment, STRATELYX grants the Client a non-exclusive, non-transferable license to use the deliverables internally for the purposes set out in the Engagement Agreement. STRATELYX retains all underlying methodologies, frameworks, templates, and know-how. Clients may not resell, sublicense, or distribute STRATELYX deliverables to third parties without prior written
consent.
05 · CONFIDENTIALITY
Mutual Confidentiality Obligations
Both parties agree to treat as confidential all non-public information received from the other party in connection with an engagement ("Confidential Information"). STRATELYX will not disclose Client information to any third party except as required to perform the Services, as required by law, or with the Client's prior written consent. Confidential Information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) was already known to the receiving party at the time of disclosure; (c) is independently developed without use of the Confidential Information; or (d) is required to be disclosed by law or court order, provided the disclosing party gives prompt written notice where legally permissible.
06 · DISCLAIMERS
Warranty Disclaimer
THE SITE AND ALL CONTENT ON IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
STRATELYX does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Information on the Site is provided for general informational purposes and may not reflect the most current legal or regulatory developments.
07 · LIMITATION OF LIABILITY
Limits on Our Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STRATELYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In all cases, STRATELYX's total aggregate liability to any Client arising out of or in connection with a specific engagement shall not exceed the total fees paid by that Client to STRATELYX in the three (3) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
08 · INDEMNIFICATION
Your Obligation to Indemnify Us
You agree to indemnify, defend, and hold harmless STRATELYX and its principals, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Site or our Services; (b) your violation of these Terms; (c) your misuse of any deliverable or work product provided by STRATELYX; or (d) any inaccurate or incomplete information you provided to us that affects the quality or accuracy of our work.
09 · THIRD-PARTY LINKS
External Websites and Services
The Site may contain links to third-party websites or services (such as scheduling tools or external resources) that are not owned or controlled by STRATELYX. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.
10 · GOVERNING LAW
Applicable Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida. For EU/EEA residents: nothing in these Terms limits your rights under applicable consumer protection laws or your right to bring proceedings before the courts of your country of residence. Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days from written notice of the dispute.
11 · CHANGES TO TERMS
Updates and Modifications
STRATELYX reserves the right to modify these Terms at any time. When we do, we will update the effective date at the top of this document. Changes are effective immediately upon posting to the Site. Your continued use of the Site or engagement of our Services after any changes constitutes your acceptance of the revised Terms. For material changes affecting existing active engagements, we will provide reasonable prior notice by email where practicable.
12 · GENERAL PROVISIONS
Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy and any applicable Engagement Agreement, constitute the entire agreement between you and STRATELYX regarding your use of the Site and our Services. Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force and effect. Waiver. Failure by STRATELYX to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. STRATELYX may assign these Terms in connection with a merger, acquisition, or sale of assets. Force Majeure. STRATELYX shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control.
